The Financial Reporting Council (FRC), the UK's independent regulator for corporate governance and reporting, announced on Wednesday the publication of its updated Guidance on the Strategic Report. This key document assists companies in fulfilling their obligations under company law by providing practical advice tailored to entities of varying sizes and complexities.
The revised guidance incorporates several significant changes to reflect the evolving regulatory landscape. It addresses updates from the UK Corporate Governance Code 2024, legislative amendments to directors’ report disclosures, and advancements in sustainability-related reporting. These modifications ensure that strategic reports deliver a cohesive narrative of a business's performance, risks, opportunities, and future prospects, primarily serving shareholders and other primary users of annual reports.
Structural enhancements have been made to improve accessibility and usability. The guidance now features a sharper focus on proportionality, allowing companies to adapt disclosures to their specific circumstances. Accompanying this release are updated Scoping Tables, which help entities comply with Companies Act 2006 requirements for strategic reports, directors’ reports, and energy and carbon reporting—including new mandates on payment practices.
Mark Babington, FRC Executive Director of Regulatory Standards, emphasised the importance of the updates: “High-quality strategic reports enable users to understand not just where the business stands today, but where it is headed, and its future prospects. These updates support UK corporate reporting by giving companies clear guidance on how to present a concise and genuinely informative view of their performance, risks and opportunities.”
